Terms of Service

These terms explain how TrackBooks services may be used, what customers are responsible for, and how we handle subscriptions, data, AI-assisted workflows and legal limits.

1. Acceptance of Terms

These Terms of Service govern your access to and use of TrackBooks, including our website, hosted application, APIs, mobile or desktop interfaces, support channels and related services.

By creating an account, signing an order form, starting a trial, clicking an acceptance button or using TrackBooks, you agree to these terms on behalf of yourself and the organisation you represent.

If you use TrackBooks for a company, firm or other entity, you confirm that you are authorised to bind that entity to these terms.

2. TrackBooks Services

TrackBooks provides cloud-based accounting, GST compliance, inventory, banking, reconciliation, reporting, audit trail and AI-assisted finance workflows for Indian businesses.

The services may include invoice and bill processing, OCR, AI extraction, GST return preparation, e-invoicing support, bank statement processing, accounting reports and integrations with third-party systems.

Features may vary by plan, geography, configuration, access rights and availability of external services such as banks, GSTN, payment gateways or connected applications.

3. Accounts and Administrators

You are responsible for keeping account credentials confidential and for all activity under your account, including activity by users you invite.

Administrators may configure organisations, users, roles, branches, GST registrations, bank accounts, integrations and billing settings. You are responsible for ensuring those settings are accurate.

You must notify us promptly if you suspect unauthorised access, credential compromise or misuse of your account.

4. Trials, Subscriptions and Payment

Paid features may require a subscription, usage-based fee, order form or other commercial arrangement. Fees, billing cycles, taxes and renewal terms will be shown in the applicable plan, invoice or order document.

Unless otherwise stated, subscription fees are non-refundable once a billing period begins. Taxes, including GST where applicable, are your responsibility.

We may suspend or limit access if fees are overdue, payment fails or use exceeds agreed limits after reasonable notice where practical.

5. Customer Data

You retain ownership of business data, documents, ledgers, invoices, bills, bank statements, GST details, party records, reports and other content you submit to TrackBooks.

You grant TrackBooks the rights needed to host, process, transmit, back up, display and use Customer Data only to provide, secure, support and improve the services, comply with law and enforce these terms.

You are responsible for the legality, accuracy, completeness and quality of Customer Data, including GSTINs, tax positions, accounting classifications, bank data and filings prepared using the service.

6. AI, Automation and Professional Review

TrackBooks may use AI, OCR, rule-based automation or machine learning to extract invoice data, suggest journal entries, classify transactions, detect matches, summarise reports or answer finance questions.

AI and automation outputs are suggestions and may be incomplete, inaccurate or unsuitable for your circumstances. You must review and approve entries, returns, reports and compliance actions before relying on them.

TrackBooks is not a chartered accountant, tax advisor, legal advisor or financial advisor. The service does not replace professional judgement or statutory compliance review.

7. Third-Party Services and Integrations

The service may connect with banks, GST services, payment processors, email providers, storage services, accounting tools or other third-party platforms at your request.

Third-party services are governed by their own terms and availability. We are not responsible for their systems, delays, outages, data errors, policy changes or actions.

By enabling an integration, you authorise TrackBooks to exchange data with that third party as required to provide the requested functionality.

8. Acceptable Use

You must use TrackBooks lawfully and only for legitimate business purposes. You must not misuse the service, interfere with security, attempt unauthorised access, reverse engineer the product or use it to transmit harmful code.

You must not upload unlawful, infringing, fraudulent, misleading or malicious content, or use the service to violate tax, accounting, privacy, banking, employment or other applicable laws.

You are responsible for maintaining your own business records, statutory filings and backups where required by law or your internal controls.

9. Security and Privacy

We use administrative, technical and organisational safeguards designed to protect the service and Customer Data. No online service can guarantee absolute security.

Our handling of personal information is described in our Privacy Policy. If these terms conflict with a signed data processing agreement, the signed agreement will control for that subject matter.

You are responsible for configuring user access, using strong credentials, protecting devices and ensuring users follow your internal security policies.

10. Intellectual Property

TrackBooks and its software, interfaces, workflows, designs, documentation, branding, templates and technology are owned by TrackBooks Technologies Pvt. Ltd. or its licensors.

Subject to these terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to use the service for your internal business operations.

Feedback, suggestions or ideas you provide may be used by us without restriction or obligation, provided we do not disclose your confidential information in doing so.

11. Confidentiality

Each party may receive non-public information from the other. The receiving party must protect confidential information using reasonable care and use it only for purposes permitted under these terms.

Confidentiality obligations do not apply to information that is public, independently developed, already known without restriction or required to be disclosed by law.

12. Suspension and Termination

You may stop using TrackBooks at any time. Subscription cancellation, data export and retention rights may depend on your plan, order form and applicable law.

We may suspend or terminate access if you materially breach these terms, fail to pay fees, create security risk, misuse the service or use it in a way that may expose us or others to legal or operational risk.

After termination, your right to use the service ends. We may retain or delete data in line with our retention practices, legal obligations and any applicable agreement.

13. Disclaimers

TrackBooks is provided on an as-is and as-available basis except where expressly stated in a written agreement.

We do not warrant that the service will be uninterrupted, error-free, immune from data loss or suitable for every tax, accounting, reporting or compliance requirement.

You are responsible for validating outputs, reviewing filings, meeting deadlines and obtaining professional advice where appropriate.

14. Limitation of Liability

To the maximum extent permitted by law, TrackBooks will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, goodwill, data or business opportunity.

Except for amounts that cannot legally be limited, our aggregate liability relating to the service will not exceed the fees paid by you to TrackBooks for the affected service during the three months before the event giving rise to the claim.

15. Indemnity

You agree to defend and indemnify TrackBooks against claims, losses, liabilities, penalties, costs and expenses arising from your Customer Data, your use of the service, your breach of these terms or your violation of law or third-party rights.

16. Changes to the Service or Terms

We may update the service and these terms from time to time. If changes are material, we will take reasonable steps to notify you through the service, email or website notice.

Your continued use of TrackBooks after updated terms become effective means you accept the updated terms.

17. Governing Law and Disputes

These terms are governed by the laws of India, without regard to conflict-of-law principles.

Subject to any mandatory law or separate written agreement, courts in India with appropriate jurisdiction will have exclusive jurisdiction over disputes relating to these terms or the service.
